for the sale of chemical substances and peptides intended exclusively for research and laboratory purposes — Poland

Seller: index rozvoje s.r.o., having its registered seat at Pitterova 2855/7, 130 00 Prague 3, Czech Republic, registered with the Commercial Register maintained by the Municipal Court in Prague (Městský soud v Praze), Section C, Insert 350089, not registered for VAT, trading under the business name “Arion Labs” through the online store available at www.arionpeptides.com, contact e-mail: info@arionpeptides.com (the “Seller”).
“Arion Labs” is the trading name under which the Seller presents itself to customers in operating the online store. The contracting party and holder of all rights and obligations under these Terms is always the Seller, i.e. index rozvoje s.r.o. Any reference to “Arion Labs”, the “store” or the “online store” refers to the Seller in this sense.
These Terms and Conditions (the “Terms”) set out the rules for using the online store, including the conclusion and performance of sales contracts between the Seller and any natural or legal person (the “Customer”) through the online store. Where goods are sold to consumers habitually resident in the Republic of Poland, the mandatory provisions of Polish consumer-protection law apply in addition, pursuant to Article 6 of Regulation (EC) No 593/2008 (Rome I), to the extent they are more favourable to the consumer than Czech law.
1.1 These Terms apply both to Customers who are consumers within the meaning of Article 221 of the Polish Civil Code and to entrepreneurs. Provisions expressly reserved for consumers do not apply to entrepreneurs. Pursuant to Article 3855 and Article 7aa of the Polish Consumer Rights Act of 30 May 2014, certain consumer rights (including the right of withdrawal and statutory warranty for defects) also apply, correspondingly, to a natural person concluding a contract directly related to their business activity where the content of the contract shows that it is not of a professional nature for that person (a “quasi-consumer entrepreneur”).
1.2 Individually agreed terms in a specific sales contract take precedence over these Terms.
1.3 The Seller reserves the right to amend these Terms. Orders placed before a given amendment takes effect are governed by the version of the Terms in force at the time the order was placed.
2.1 The Seller offers, through the online store, chemical substances, peptides and related products (the “Goods”), intended exclusively for scientific, research, development and laboratory purposes (“research use only”). The Goods are intended for in-vitro use and other laboratory and analytical purposes, exclusively by appropriately competent persons in a laboratory or research setting.
2.2 The Goods offered by the Seller are not medicinal products within the meaning of the Polish Pharmaceutical Law Act of 6 September 2001; not foodstuffs or food supplements within the meaning of the Act of 25 August 2006 on Food and Nutrition Safety; not cosmetic products within the meaning of Regulation (EC) No 1223/2009; and not veterinary medicinal products. The Goods are not intended for human or animal consumption, application on or into the human or animal body, or any comparable use.
2.3 The Goods are intended exclusively for entities competent to handle chemical substances professionally (research establishments, laboratories, universities, corporate R&D departments, etc.) and may only be used in accordance with their stated purpose and applicable chemicals and occupational-safety legislation, in particular the Act of 25 February 2011 on Chemical Substances and their Mixtures.
2.4 The Goods are intended solely for adults with full legal capacity. By placing an order, the Customer confirms that this condition is met.
2.5 The Seller reserves the right to refuse to fulfil an order or to withdraw from the contract if it has reasonable grounds to believe that the Customer intends to use the Goods contrary to their stated purpose under this § 2, or that the Customer does not meet the conditions of clauses 2.3 and 2.4.
3.1 The order process includes active confirmation (by ticking the relevant box) of the following declaration, without which the order cannot be placed:
“I declare that I will use the purchased Goods (chemical substances/peptides) exclusively for research and/or laboratory purposes, and not otherwise, in particular not for human or animal consumption, application on or into the body, or for therapeutic, dietary, cosmetic, doping or other purposes. I declare that I am able to handle the Goods in compliance with the applicable law of the Republic of Poland and of the European Union, and that I will act in accordance with these Terms. I acknowledge that, by placing this order and giving this consent, full responsibility for the further handling and use of the Goods is transferred to me.”
3.2 By placing an order and confirming the declaration in clause 3.1, the Customer expressly confirms and undertakes that it will use the Goods exclusively for research/laboratory purposes; is aware that the Goods are not intended for human/animal consumption or application; will handle the Goods in accordance with applicable legislation (in particular occupational safety and chemicals legislation); will independently verify the particular legal status of individual substances (e.g. anti-doping regulations); and will not transfer the Goods to third parties in a manner that could result in use contrary to their stated purpose.
3.3 Upon conclusion of the sales contract, responsibility for the further handling of the purchased Goods transfers to the Customer, in particular responsibility for the manner and purpose of use, the compliance of such use with the law applicable at the place of use, and any personal injury or property damage suffered by the Customer, third parties, or the Seller as a result of use of the Goods contrary to their stated purpose or applicable law.
3.4 The Seller is not liable for damage resulting from use of the Goods contrary to their stated purpose set out in these Terms. This does not affect the Seller's liability for defects under the statutory warranty (§ 8) or liability for damage caused intentionally, which cannot be excluded or limited under Article 473 § 2 of the Polish Civil Code.
4.1 The presentation of Goods in the online store is for information purposes and does not constitute an offer within the meaning of Article 66 of the Polish Civil Code, but an invitation to conclude a contract.
4.2 An order placed by clicking the order button constitutes an offer to conclude a sales contract. The contract is concluded upon the Customer's receipt of the Seller's order confirmation sent to the e-mail address provided in the order.
4.3 All prices shown in the online store are gross prices (inclusive of all applicable taxes); delivery costs are shown separately before the order is placed.
5.1 Payment is made by bank transfer or by cash on delivery upon receipt of the shipment. The payment methods available for the given delivery country and shipping method are shown in the online store when completing the order.
5.2 Unless otherwise agreed, the Goods will be dispatched within the period indicated on the product page. Due to the nature of the Goods, shipment is made in neutral packaging without indication of contents.
6.1 A consumer who has concluded a distance contract may withdraw from it within 14 days without giving any reason and without incurring costs, except for the costs specified in Articles 33, 34 and 35 of the Polish Consumer Rights Act of 30 May 2014 (Journal of Laws 2014, item 827, as amended). The period is calculated from the day on which the consumer, or a third party other than the carrier indicated by the consumer, takes possession of the Goods.
6.2 The consumer may withdraw from the contract by submitting an unambiguous statement of withdrawal to the Seller, including by using the model form set out in Annex 2 to the Consumer Rights Act, sent to the Seller's e-mail address (info@arionpeptides.com) or registered office address. It is sufficient to send the statement before the deadline expires. Withdrawal may also be exercised via the electronic withdrawal function made available on the online store's website.
6.3 The Seller shall, without undue delay and no later than within 14 days of receiving the statement of withdrawal, reimburse the consumer for all payments made, including the costs of delivering the Goods (subject to the exceptions provided for by law).
6.4 The right of withdrawal does not apply to contracts where the subject of performance is an item delivered in sealed packaging which cannot be returned after opening for health-protection or hygiene reasons, if the packaging was opened after delivery (Article 38(5) of the Consumer Rights Act); the Seller indicates on the relevant product page where this exception applies.
6.5 Pursuant to Article 7aa of the Consumer Rights Act, the right of withdrawal on the above terms applies, correspondingly, to a natural person concluding a contract directly related to their business activity where the content of that contract shows that it is not of a professional nature for that person.
7.1 The Seller is liable for defects in the Goods on the terms set out in the Polish Civil Code (Article 556 et seq.) and, with respect to consumers, on the terms set out in Chapter 5a of the Consumer Rights Act concerning sales contracts where the buyer is a consumer.
7.2 The Seller's liability does not extend to defects arising from use of the Goods contrary to their stated purpose under § 2, improper storage by the Customer after delivery, or expiry of the recommended shelf life.
8.1 The Seller processes the Customer's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the Polish Act of 10 May 2018 on the Protection of Personal Data. Details are set out in the separate Privacy Policy available on the online store's website.
9.1 A consumer is entitled to seek out-of-court resolution of a dispute before the Provincial Inspector of Trade Inspection competent for the Seller's place of business, or before a standing consumer arbitration court operating at the Trade Inspection. Information on procedures is available on the website of the Office of Competition and Consumer Protection (uokik.gov.pl). The consumer may also use the EU Online Dispute Resolution (ODR) platform available at ec.europa.eu/consumers/odr.
10.1 Matters not regulated by these Terms are governed by Czech law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Where the Customer is a consumer habitually resident in the Republic of Poland, this choice of law does not deprive the consumer of the protection afforded by mandatory provisions of Polish law, pursuant to Article 6(2) of the Rome I Regulation.
10.2 Should any provision of these Terms prove invalid or ineffective, this shall not affect the validity of the remaining provisions.
These Terms take effect on 08/09/2026.
