“Arion Labs” is the trading name under which the Seller presents itself to customers in operating the online store. The contracting party and holder of all rights and obligations under these Terms is always the Seller, i.e. index rozvoje s.r.o. Any reference to “Arion Labs”, the “store” or the “online store” refers to the Seller in this sense.

These General Terms and Conditions of Sale (the “Terms”) govern the mutual rights and obligations of the parties arising from or in connection with sales contracts concluded between the Seller and any natural or legal person (the “Customer”) through the online store. Where the sale is made to consumers habitually resident in France, the mandatory provisions of French consumer law apply in addition, pursuant to Article 6 of Regulation (EC) No 593/2008 (Rome I), to the extent they are more favourable to the consumer than Czech law.

1.General provisions

1.1 These Terms apply both to Customers having the status of consumer within the meaning of the preliminary article of the French Consumer Code and to Customers acting in a professional capacity. Stipulations expressly reserved for consumers do not apply to professionals.

1.2 Particular stipulations agreed in the sales contract take precedence over these Terms.

1.3 The Seller may amend or supplement these Terms. The version in force at the time an order is placed applies to that order.

2.Nature of the product and purpose of use

2.1 The Seller offers, through the online store, chemical substances, peptides and related products (the “Products”), intended exclusively for scientific, experimental and laboratory research purposes (“research use only”). The Products are intended for in-vitro use or other laboratory and analytical purposes, reserved for qualified persons in an appropriate laboratory or research setting.

2.2 The Products offered by the Seller do not constitute medicinal products within the meaning of the French Public Health Code or Regulation (EC) No 726/2004; foodstuffs or food supplements within the meaning of Decree No 2006-352 on food supplements; cosmetic products within the meaning of Regulation (EC) No 1223/2009; or veterinary medicinal products. The Products are not intended for human or animal consumption, application on or into the human or animal body, or any similar use.

2.3 The Products are intended exclusively for persons or organisations competent to handle chemical substances professionally (research establishments, laboratories, universities, corporate R&D departments, etc.) and may only be used in accordance with their stated purpose and applicable chemicals and occupational-safety legislation, in particular Regulation (EC) No 1907/2006 (REACH) and Regulation (EC) No 1272/2008 (CLP).

2.4 The Products are reserved for adults with full legal capacity. By placing an order, the Customer confirms that this condition is met.

2.5 The Seller reserves the right to refuse an order or to terminate the contract where there is a reasonable suspicion that the Customer intends to use the Product contrary to its stated purpose under this article, or that the conditions of points 2.3 and 2.4 are not met.

3.Customer declaration and transfer of liability

3.1 The order process includes the active confirmation (tick box) of the following declaration, without which the order cannot be finalised:

“I declare that I will use the purchased Product (chemical substances/peptides) exclusively for research and/or laboratory purposes, and not for other purposes, in particular not for human or animal consumption, application on or into the body, or for therapeutic, dietary, cosmetic, doping or other purposes. I declare that I am able to handle the Product in compliance with the applicable law of the French Republic and of the European Union, and that I will act in accordance with these Terms. I acknowledge that, by placing this order and giving this consent, full responsibility for the subsequent handling of the Product and its use is transferred to me.”

3.2 By placing an order and confirming the declaration referred to in point 3.1, the Customer expressly confirms and undertakes to use the Product exclusively for research/laboratory purposes; not to use it for human/animal consumption or application on the body; to handle the Product in accordance with applicable regulations (in particular occupational safety and chemicals legislation); to independently verify the particular legal status of any given substance (e.g. anti-doping regulations); and not to transfer the Product to any third party in a manner liable to result in use contrary to its stated purpose.

3.3 Upon conclusion of the sales contract, responsibility for the subsequent handling of the purchased Product is transferred to the Customer, in particular as regards the choice of manner and purpose of use, the compliance of such use with the law applicable at the place of use, and any personal injury or property damage suffered by the Customer, third parties or the Seller as a result of a use of the Product contrary to its stated purpose under these Terms or contrary to applicable regulations.

3.4 The Seller shall not be liable for damage resulting from a use of the Product contrary to its stated purpose under these Terms. This stipulation does not affect the Seller's liability for defects in the Product (Article 7) or its liability for wilful misconduct or gross negligence, or for any damage to life, physical integrity or health, which may not be excluded or limited pursuant to Articles 1170 and 1231-3 of the French Civil Code.

4.Conclusion of the sales contract

4.1 The presentation of Products on the online store is for information purposes only and does not constitute a firm offer by the Seller but an invitation to enter into negotiations.

4.2 An order placed by the Customer by clicking the order button constitutes a firm offer to purchase. The contract is concluded upon the Customer's receipt of the order confirmation sent by the Seller to the e-mail address provided when placing the order.

4.3 All prices displayed on the online store are inclusive of all taxes; delivery costs are shown separately before the order is validated.

5.Payment and delivery

5.1 Payment is made by bank transfer. The payment methods available are shown in the online store when completing the order.

5.2 The Product is dispatched within the period indicated on the product page, unless otherwise agreed. Due to the nature of the Product, dispatch is made in neutral packaging, without indication of contents.

6.Right of withdrawal

6.1 In accordance with Articles L. 221-18 et seq. of the French Consumer Code, the consumer has a period of fourteen days to exercise the right of withdrawal from a contract concluded at a distance, without having to state a reason. This period runs from receipt of the goods by the consumer or by a third party designated by them, other than the carrier.

6.2 To exercise the right of withdrawal, the consumer shall notify their decision by means of an unambiguous statement (e-mail sent to info@arionpeptides.com, letter, or the model form set out in the annex to Article R. 221-1 of the Consumer Code). It is sufficient for the communication concerning the exercise of the right of withdrawal to be sent before expiry of the period. Withdrawal may also be exercised via the electronic withdrawal function made available on the Seller's website.

6.3 The Seller shall reimburse the consumer for all sums paid, including delivery costs, without undue delay and no later than fourteen days from the date on which it is informed of the decision to withdraw.

6.4 In accordance with Article L. 221-28 of the Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of goods which have been unsealed by the consumer after delivery and which cannot be returned for hygiene or health-protection reasons; the Seller indicates this exception on the relevant product page where applicable.

7.Statutory guarantee

7.1 The Seller is bound by the legal guarantee of conformity (Articles L. 217-3 et seq. of the Consumer Code) and the guarantee against hidden defects (Articles 1641 et seq. of the Civil Code).

7.2 These guarantees do not apply to defects resulting from a use of the Product contrary to its stated purpose under Article 2, improper storage by the Customer after delivery, or expiry of the recommended shelf life.

8.Protection of personal data

8.1 The Seller processes the Customer's personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Law No. 78-17 of 6 January 1978, as amended, on information technology, data files and civil liberties. Detailed arrangements are set out in the Privacy Policy available on the site.

9.Consumer mediation

9.1 In accordance with Article L. 616-1 of the Consumer Code, every consumer has the right to have recourse free of charge to a consumer mediator with a view to the amicable resolution of a dispute. The consumer may also refer the matter to the European online dispute resolution platform available at ec.europa.eu/consumers/odr, or report a breach via the DGCCRF's SignalConso platform (signal.conso.gouv.fr), it being specified that the latter does not handle individual disputes.

10.Final provisions

10.1 Relations between the Seller and the Customer are governed by Czech law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Where the Customer is a consumer habitually resident in France, this choice of law shall not deprive the consumer of the protection afforded by the mandatory provisions of French law, in accordance with Article 6(2) of the Rome I Regulation.

10.2 Should any stipulation of these Terms prove null or unenforceable, this shall not affect the validity of the remaining stipulations.

These Terms take effect on 08/09/2026.
