Seller: index rozvoje s.r.o., having its registered seat at Pitterova 2855/7, 130 00 Prague 3, Czech Republic, registered with the Commercial Register maintained by the Municipal Court in Prague (Městský soud v Praze), Section C, Insert 350089, VAT identification number: not applicable (not VAT-registered), trading under the business name “Arion Labs” through the online store available at www.arionpeptides.com, contact e-mail: info@arionpeptides.com (the “Seller”).

“Arion Labs” is the trading name under which the Seller presents itself to customers in operating the online store. The contracting party and holder of all rights and obligations under these Terms is always the Seller, i.e. index rozvoje s.r.o. Any reference to “Arion Labs”, the “store” or the “online store” refers to the Seller in this sense.

These General Terms and Conditions (the “Terms”) govern the mutual rights and obligations of the parties arising from or in connection with purchase contracts concluded between the Seller and any other natural or legal person (the “Customer”) through the online store. Where the Seller sells to consumers habitually resident in Germany, the mandatory consumer-protection provisions of German law apply in addition, pursuant to Article 6 of Regulation (EC) No 593/2008 (Rome I), to the extent they are more favourable to the consumer than Czech law.

§ 1General provisions

1.1 These Terms apply both to Customers who are consumers within the meaning of § 13 of the German Civil Code (BGB) and to entrepreneurs within the meaning of § 14 BGB. Provisions expressly reserved for consumers do not apply to entrepreneurs.

1.2 Deviating arrangements agreed in an individual purchase contract take precedence over these Terms.

1.3 The Seller may amend or supplement these Terms. The version in force at the time an order is placed applies to the relevant purchase contract.

§ 2Nature of the goods and purpose of use

2.1 The Seller offers, through the online store, chemical substances, peptides and related products (the “Goods”), intended exclusively for scientific, experimental and laboratory research purposes (“research use only”). The Goods are intended for in-vitro use and other laboratory and analytical purposes, exclusively by qualified persons in an appropriate laboratory or research setting.

2.2 The Goods offered by the Seller are not medicinal products within the meaning of the German Medicinal Products Act (AMG) or Regulation (EC) No 726/2004; not foodstuffs or food supplements within the meaning of Regulation (EU) No 1169/2011 or the German Food Supplements Ordinance (NemV); not cosmetic products within the meaning of Regulation (EC) No 1223/2009; and not veterinary medicinal products. The Goods are not intended for human or animal consumption, application on or into the human or animal body, or any comparable use.

2.3 The Goods are intended exclusively for persons and institutions competent to handle chemical substances professionally (research establishments, laboratories, universities, corporate development departments, etc.) and may only be used in accordance with their stated purpose and with applicable chemicals and occupational-safety legislation, in particular the German Chemicals Act (ChemG) and the Hazardous Substances Ordinance (GefStoffV).

2.4 The Goods may only be ordered by persons who have reached the age of 18 and have unlimited legal capacity. By submitting an order, the Customer confirms that this condition is met.

2.5 The Seller reserves the right to refuse an order or withdraw from the contract if it has reasonable grounds to believe that the Customer intends to use the Goods contrary to their stated purpose under this § 2, or that the conditions of clauses 2.3 and 2.4 are not met.

§ 3Customer declaration and transfer of liability

3.1 The order process includes active confirmation (by ticking the relevant box) of the following declaration, without which the order cannot be completed:

“I declare that I will use the purchased Goods (chemical substances/peptides) exclusively for research and/or laboratory purposes, and not otherwise, in particular not for human or animal consumption, application on or into the body, or for therapeutic, dietary, cosmetic, doping or other purposes. I declare that I am able to handle the Goods in compliance with the applicable law of the Federal Republic of Germany and of the European Union, and that I will act in accordance with these Terms. I acknowledge that, by placing this order and giving this consent, full responsibility for the further handling and use of the Goods is transferred to me.”

3.2 By placing an order and confirming the declaration in clause 3.1, the Customer expressly confirms and undertakes that it will use the Goods exclusively for research/laboratory purposes; is aware that the Goods are not intended for human/animal consumption; will handle the Goods in accordance with applicable law (in particular occupational-safety and chemicals legislation); will independently verify the legal status of any specific substance (e.g. anti-doping regulations); and will not pass the Goods to any third party in a manner that could result in use contrary to their stated purpose.

3.3 Upon formation of the purchase contract, responsibility for the further handling of the purchased Goods transfers to the Customer, in particular responsibility for the manner and purpose of use, the compliance of such use with the law applicable at the place of use, and any personal injury or property damage suffered by the Customer, third parties, or the Seller as a result of use of the Goods contrary to their stated purpose or applicable law.

3.4 The Seller is not liable for damage arising from use of the Goods contrary to their stated purpose. This does not affect the Seller's liability for intent or gross negligence, or for injury to life, body or health; any exclusion or limitation of liability going beyond what is permitted under §§ 276, 309 No. 7 BGB is not intended by this clause and, to the extent it would otherwise apply, shall be invalid.

§ 4Formation of contract

4.1 The presentation of Goods in the online store does not constitute a binding offer by the Seller but a non-binding invitation for the Customer to order goods (invitatio ad offerendum).

4.2 By clicking the order button, the Customer submits a binding offer to conclude a purchase contract. The contract is formed upon receipt of the Seller's order confirmation by e-mail.

4.3 Unless stated otherwise, all prices are final prices inclusive of any applicable statutory taxes; additional delivery and shipping costs are shown separately before the order is completed.

§ 5Payment and delivery

5.1 Payment is made by bank transfer. For delivery to an address in Germany, payment by cash on delivery upon receipt of the shipment is also available. The payment methods available for the given delivery country and shipping method are shown in the online store when completing the order.

5.2 Unless otherwise agreed, the Goods will be dispatched within the period indicated on the product page. Due to the nature of the Goods, shipment is made in neutral packaging without indication of contents.

§ 6Right of withdrawal

6.1 Consumers have a statutory right of withdrawal under §§ 355, 356 BGB. The withdrawal notice below applies.

Withdrawal notice

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period will expire fourteen days from the day on which you, or a third party other than the carrier and indicated by you, acquire physical possession of the goods. You may use the model withdrawal form below, although it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired. Withdrawal may also be declared via the electronic withdrawal function provided on the Seller's website pursuant to § 356a BGB.

6.2 If you withdraw from this contract, the Seller shall reimburse all payments received from you, including the costs of delivery, without undue delay and in any event not later than fourteen days from the day on which the Seller is informed of your decision to withdraw.

6.3 The right of withdrawal does not apply to contracts for the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons if their seal was removed after delivery (§ 312g(2) No. 3 BGB); the Seller indicates on the relevant product page where this exception applies.

7.2 Claims for defects do not apply to the extent the defect results from use of the Goods contrary to their stated purpose, improper storage by the Customer after delivery, or expiry of the recommended shelf life.

§ 10Final provisions

10.1 Contracts between the Seller and Customers are governed by Czech law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Where the Customer is a consumer habitually resident in Germany, this choice of law does not deprive the consumer of the protection afforded by mandatory provisions of German law, pursuant to Article 6(2) of the Rome I Regulation.

10.2 Should any provision of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.

These Terms take effect on 08/09/2026.
