Seller: index rozvoje s.r.o., having its registered seat at Pitterova 2855/7, 130 00 Prague 3, Czech Republic, company identification number (IČO): 10881662, registered with the Commercial Register maintained by the Municipal Court in Prague (Městský soud v Praze), Section C, Insert 350089, not registered for VAT, trading under the business name “Arion Labs” through the online store available at www.arionpeptides.com, contact e-mail: info@arionpeptides.com (the “Seller”).

“Arion Labs” is the trading name under which the Seller presents itself to customers in operating the online store, in accordance with § 423 of the Czech Civil Code. The contracting party and holder of all rights and obligations under these Terms is always the Seller, i.e. index rozvoje s.r.o. Any reference to “Arion Labs”, the “store” or the “online store” in these Terms refers to the Seller in this sense.

These General Terms and Conditions (the “Terms”) govern, in accordance with § 1751(1) of Act No. 89/2012 Coll., the Civil Code, as amended (the “Civil Code”), the mutual rights and obligations of the parties arising from or in connection with a purchase contract concluded between the Seller and any other natural or legal person (the “Customer”) through the Seller's online store.

I.Introductory provisions

1.1 These Terms apply both where the Customer is a consumer within the meaning of § 419 of the Civil Code and where the Customer purchases goods in the course of its business activity (an “entrepreneur”). Provisions of these Terms intended solely for consumers do not apply to an entrepreneur Customer.

1.2 Deviating arrangements may be agreed in the purchase contract. Such deviating arrangements take precedence over the provisions of these Terms.

1.3 The Seller may amend or supplement the wording of these Terms to a reasonable extent. This does not affect rights and obligations arising during the period of effect of the previous wording of the Terms. The wording of the Terms in effect at the time the order is sent is decisive for the Customer.

1.4 By concluding the purchase contract, the Customer confirms that it has read these Terms, agrees to their content, in the wording valid and effective at the time the order is sent, including Articles II and III of these Terms governing the purpose of use of the goods and the Customer's liability.

II.Nature of the goods and purpose of their use

2.1 The Seller offers, through the online store, chemical substances, peptides and related products (the “Goods”) intended exclusively for scientific, research, development and laboratory purposes (“research use only”). The Goods are intended for in-vitro use, or other laboratory and analytical purposes, exclusively by qualified persons in an appropriate laboratory or research setting.

2.2 The Goods offered by the Seller are not a medicinal product within the meaning of Act No. 378/2007 Coll., on Pharmaceuticals; a foodstuff or food supplement within the meaning of Act No. 110/1997 Coll., on Foodstuffs and Tobacco Products; a cosmetic product within the meaning of Regulation (EC) No 1223/2009 of the European Parliament and of the Council on cosmetic products; a veterinary product; or any other unregistered product intended for diagnostic, therapeutic or prophylactic use in humans or animals. The Goods are not intended for human or animal consumption, ingestion, application into the body, application on the body, or any similar use.

2.3 The Goods are intended exclusively for entities competent to handle chemical substances professionally (research establishments, laboratories, universities, corporate development departments, etc.) and may only be used in accordance with their stated purpose under this article, and in accordance with legislation governing the handling of chemical substances and mixtures, in particular Act No. 350/2011 Coll., on Chemical Substances and Chemical Mixtures, and occupational health and safety legislation.

2.4 The Goods are intended solely for persons over 18 years of age with full legal capacity. By sending the order, the Customer confirms that it meets this condition and that it is placing the order as a fully capable person, or on behalf of and for the account of a legal entity which it is authorised to represent.

2.5 The Seller reserves the right to refuse an order or to withdraw from a concluded contract if it has reasonable grounds to believe that the Customer intends to use the Goods contrary to their stated purpose under this article, that the Customer does not meet the conditions set out in clauses 2.3 and 2.4, or that the order is directed at a purpose other than the one declared.

III.Customer's declaration and liability for the use of the goods

3.1 The order process includes the active confirmation (by ticking the relevant box) of the following declaration by the Customer, without which the order cannot be completed:

“I declare that I will use the purchased goods (chemical substances/peptides) exclusively for research and/or laboratory purposes, and not in any other manner, in particular not for human or animal consumption, application on or into the body, or for therapeutic, dietary, cosmetic, doping or other purposes. I declare that I am competent to handle the goods in accordance with the applicable laws of the Czech Republic and the European Union and that I will do so in accordance with these Terms. I acknowledge that, by sending the order and giving this consent, full responsibility connected with the further handling and use of the goods is transferred to me.”

3.2 By sending the order and confirming the declaration under clause 3.1, the Customer expressly confirms and undertakes that: (a) it will use the purchased goods exclusively for research and/or laboratory purposes and not otherwise; (b) it understands that the goods are not intended for human or animal consumption or application, and that any such use is contrary to the stated purpose of the goods and to these Terms; (c) it will handle the goods (storage, handling, use, disposal) in accordance with generally binding legal regulations, in particular regulations on health and safety protection and regulations on the handling of chemical substances; (d) it is aware that certain substances offered by the Seller may be subject to a special legal regime (e.g. lists of prohibited substances under anti-doping regulations, regulations on addictive substances, etc.), and that verifying this status prior to any further handling of the goods is solely its own responsibility; and (e) it will not further distribute, sell, or otherwise make the goods available to third parties in a manner that could lead to their use contrary to the stated purpose under Article II.

3.3 By agreeing to these Terms and sending the order, full responsibility for the further handling of the purchased goods transfers to the Customer upon conclusion of the purchase contract, in particular responsibility for: (a) the choice of manner and purpose of use of the goods; (b) the compliance of the use of the goods with the laws applicable at the place where the goods are used or otherwise handled; and (c) any injury to health or property, damage, or other harm suffered by the Customer, third parties, or the Seller as a result of use of the goods contrary to their stated purpose under Article II of these Terms or contrary to applicable law.

3.4 The Seller is not liable for damage or other harm arising as a result of use of the goods contrary to their stated purpose set out in these Terms, nor for the Customer's failure to comply with the obligations set out in clause 3.2. This does not affect the Seller's liability for defects in the goods under Article VIII of these Terms, nor its liability for damage caused intentionally or through gross negligence, from which the Seller is not released by this clause (§ 2898 of the Civil Code).

3.5 The provision of a false declaration under clauses 3.1 and 3.2 by the Customer constitutes a material breach of the purchase contract and gives rise to the Seller's right to compensation for any damage thereby incurred.

IV.Conclusion of the purchase contract

4.1 Any presentation of goods placed in the online store is informative in nature and the Seller is not obliged to conclude a purchase contract regarding such goods; § 1732(2) of the Civil Code does not apply.

4.2 The online store contains information about the goods, including the prices of individual goods. Prices of goods are stated inclusive of value added tax and all related fees. Prices of goods remain valid for as long as they are displayed in the online store.

4.3 To order goods, the Customer completes the order form in the online store, including by confirming the declaration under Article III, clause 3.1. The order is a proposal to conclude a purchase contract. Before sending the order, the Customer is given the opportunity to check and change the details entered into the order.

4.4 The purchase contract is concluded at the moment the Seller's confirmation of the order (acceptance) is delivered to the Customer at the e-mail address stated in the order.

V.Price of goods and payment terms

5.1 The Customer may pay the price of the goods and any costs associated with the delivery of goods under the purchase contract by bank transfer or by cash on delivery upon receipt of the shipment. The payment methods available for the given delivery country and shipping method are shown in the online store when completing the order.

5.2 Together with the purchase price, the Customer is obliged to pay the Seller the costs associated with the packaging and delivery of the goods in the agreed amount.

5.3 The Seller shall issue the Customer with a tax document (invoice), which it shall send to the Customer in electronic form to the Customer's e-mail address.

VI.Transport and delivery terms

6.1 The Customer chooses the method of delivery of the goods from the options offered in the online store. Given the nature of the goods, they are usually dispatched in opaque packaging without indicating the contents of the shipment on the packaging.

6.2 Given the nature of the goods (chemical substances intended for laboratory/research purposes), the Seller arranges transport in accordance with the relevant transport regulations; the Customer is obliged, after taking delivery of the goods, to store them in accordance with the instructions provided in the product documentation (e.g. a safety data sheet, if provided).

VII.Withdrawal from the purchase contract

7.1 Where the Customer is a consumer, it has the right, pursuant to § 1829(1) of the Civil Code, to withdraw from a purchase contract concluded by distance means without giving any reason, within 14 days of taking delivery of the goods.

7.2 For the purposes of exercising the right of withdrawal, the Customer may use the electronic interface (the “withdraw from contract” function/button) made available by the Seller on the online store's website, or in the customer account, in accordance with the amendment to the Civil Code and the Consumer Protection Act implementing Directive (EU) 2023/2673. The Customer may also withdraw from the contract by an unambiguous written statement sent to the Seller's contact e-mail or postal address stated in the introduction to these Terms. A model form may be used for this purpose, which the Seller shall provide to the Customer together with the order confirmation.

7.3 In accordance with § 1837(e) of the Civil Code, a consumer cannot withdraw from a contract for the supply of goods that have been adapted to the consumer's wishes or for their person, or from a contract for the supply of goods in sealed packaging which the consumer has removed from the packaging and which cannot be returned for hygiene reasons; this may apply to goods whose original packaging (ensuring integrity and cleanliness for laboratory use) has been broken by the Customer. The Seller shall always indicate for the relevant goods in the online store where this exception applies.

7.4 In the event of withdrawal under this article, the purchase contract is cancelled from the outset and the parties shall return to each other the performance mutually provided, in accordance with § 1832 et seq. of the Civil Code.

7.5 A Customer who is an entrepreneur does not have the right to withdraw from the contract under this article, unless contractual withdrawal has been individually agreed.

VIII.Rights arising from defective performance and complaints

8.1 The rights and obligations of the parties regarding rights arising from defective performance are governed by the relevant generally binding legal regulations, in particular §§ 1914 to 1925, §§ 2099 to 2117, and §§ 2161 to 2174b of the Civil Code, and Act No. 634/1992 Coll., on Consumer Protection.

8.2 Where the Customer is a consumer, the Seller is liable to the Customer for the goods being free of defects upon receipt and for defects not appearing within the statutory period (generally 24 months from receipt of the goods), unless a legal regulation or the nature of the goods (a consumable or perishable nature of the chemical substances with limited stability) provides otherwise.

8.3 Rights arising from defective performance do not apply to defects arising from use of the goods contrary to their stated purpose under Article II of these Terms, defects arising from improper storage by the Customer after delivery of the goods, or ordinary wear and tear or a reduction in the stability of a substance after expiry of the recommended period of use.

8.4 The Customer shall make a complaint at the Seller's contact address or e-mail stated in the introduction to these Terms. The Seller shall decide on the complaint without undue delay, no later than within 30 days of the date the complaint was made, unless the parties agree on a longer period.

IX.Protection of personal data

9.1 The Seller processes the Customer's personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and Act No. 110/2019 Coll., on the Processing of Personal Data, for the purpose of performing the purchase contract, fulfilling statutory obligations (e.g. accounting and tax obligations), and, where relevant, for the purpose of direct marketing on the basis of consent given.

9.2 Detailed information on the processing of personal data, including its scope, legal basis, retention period, and the rights of the data subject (the right of access, rectification, erasure, restriction of processing, data portability, and the right to object) is set out in the separate Privacy Policy available on the online store's website.

X.Out-of-court resolution of consumer disputes

10.1 The Czech Trade Inspection Authority (Česká obchodní inspekce), with its registered office at Štěpánská 796/44, 110 00 Prague 1, company identification number: 000 20 869, website: https://adr.coi.cz/cs, is competent for the out-of-court resolution of consumer disputes arising from the purchase contract. The online dispute resolution platform, available at https://ec.europa.eu/consumers/odr, may be used to resolve disputes between the Seller and the Customer arising from the purchase contract.

10.2 The European Consumer Centre Czech Republic, with its registered office at Štěpánská 796/44, 110 00 Prague 1, website: https://evropskyspotrebitel.cz, is a contact point pursuant to Regulation (EU) No 524/2013 of the European Parliament and of the Council.

XI.Final provisions

11.1 If the relationship established by the purchase contract contains an international (foreign) element, the parties agree that the relationship is governed by Czech law. This choice of law does not deprive a consumer Customer of the protection afforded to it by provisions of the legal order from which it is not possible to derogate by agreement.

11.2 If any provision of these Terms is or becomes invalid or ineffective, the invalid provision shall be replaced by a provision whose meaning is as close as possible to that of the invalid provision. The invalidity or ineffectiveness of one provision does not affect the validity of the other provisions.

11.3 The purchase contract, including these Terms, is archived by the Seller in electronic form and is made available to the Customer upon request.

11.4 The Seller's contact details for delivery are stated in the introduction to these Terms.

These Terms take effect on 08/09/2026.
